Roll Referral Terms and Conditions

 

1.                   Definitions

 

1.1               “PIC” means partner identification code, a unique alpha-numeric code assigned to You by ADP.

 

1.2               “Program” means the Roll referral program described in this Exhibit B and on the Roll website and/or Roll mobile application.

 

1.3               “Program Terms” means all of the terms and conditions that govern the Program.

 

1.4               “Referral” means each time You share the Roll referral link and Your PIC with a Referred Client.

 

1.5               “Referred Client” means a company who You refer to use Roll as described in Section 2 (Program Description) below.

 

1.6               “Referring Client” means, with respect to each Referred Client, You.

 

1.7               “Reward” means any incentive provided by ADP to You and/or the Referred Client, subject to the Program Terms.

 

2.                   Program Description.  The Program allows You to earn Rewards for each Referred Client.  To start the process, You send the Referred Client the Roll referral link (available in the Roll mobile application or online) and Your PIC.  If the Referred Client signs up for and uses Roll, ADP will provide You a Reward in accordance with the Program Terms.  ADP may also provide a Reward to Your Referred Client.

 

3.                   Eligibility Requirements.  To be eligible to receive a Reward, the Referring Client and the Referred Client must comply with the following:

 

3.1               Referring Client

 

(a)                The Referring Client must be a Roll client in good standing at the time the Referral is made.

 

(b)                The Referring Client may not be enrolled in any other ADP referral program.

 

3.2               Referred Client

 

(a)                The Referred Client may not be an affiliate of the Referring Party.

 

(b)                The Referred Client must not have been a Roll client at any time during the six (6) month period immediately preceding the date of Referral.

 

3.3               Both Parties

 

(a)                Both the Referring Client and the Referred Client each must provide the Referring Client’s PIC to receive a Reward.

 

(b)                Both the Referring Client and the Referred Client must provide ADP any requested information.

 

4.                   Rewards

 

4.1               Recipient.  Rewards will be delivered only to the owner of the Referring Client, and, when applicable, the owner of the Referred Client.

 

 

 

4.2               Delivery Timing

 

(a)                Referring Client.  ADP will initiate the delivery of any Rewards earned under the Program to the Referring Client on or about the date the Referred Client first uses Roll to process their payroll.

 

(b)                Referred Client.  ADP will initiate the delivery of any Rewards earned under the Program to the Referred Client on or about the date the Referred Client uses Roll to process its first payroll and after the expiration of any free trial period.

 

4.3               Reward not a Commission.  You agree that any Reward provided does not constitute payment of commissions or compensation to You, and is therefore not subject to regulation under Regulation E of the Electronic Funds Transfer Act and its Official Staff Commentary as issued August 24, 2006.

 

4.4               Taxes.  It is Your responsibility to pay any applicable taxes on Rewards earned hereunder.

 

5.                   Miscellaneous

 

5.1               Data.  In addition to the rights set forth in the Agreement, ADP may share Your data with third parties (e.g., card issuers, rewards program managers, etc.) to the extent necessary to administer and operate the Program.

 

5.2               Program Changes.  ADP may change the Program Terms or cancel the Program at any time.

 

5.3               Additional Terms.  If the Reward is in the form of a gift card, the card issuer’s terms and conditions (in addition to the Program Terms) will apply to the use thereof), including any Reward expiration date.  The amount of any gift card issued as a Reward may be less than its face value as a result of fees or charges imposed by the card issuer.
